The story
DoorDash has announced an agreement to acquire grocery delivery firm Instacart for $17bn, marking the largest acquisition in DoorDash's history. The combined operation aims to integrate restaurant delivery, quick-need purchases, and weekly grocery shopping for consumers, while expanding retail options for merchants and sellers. Under the terms of the agreement, DoorDash will pay $65 a share in a transaction that will be at least 75% cash. The offered price represents a 26% premium on Instacart stock based on its closing price prior to the emergence of merger reports.
Executives from both companies stated that the consolidation will expand consumer access and merchant reach. According to the companies, Instacart shoppers will gain the ability to purchase goods from 50,000 additional stores covered by DoorDash, bringing the total available store network to 150,000. DoorDash co-founder and chief executive Tony Xu noted that grocery delivery presents unique logistical challenges, including item selection and temperature management, areas where Instacart has developed specialized expertise over its 14 years of operation. Instacart chief executive Chris Rogers stated that the partnership will help accelerate industry innovation and provide more tools for retailers of all sizes.
A closer look
Following the completion of the transaction, which is expected to conclude by the end of 2027 or the first half of 2028, DoorDash plans to maintain the Instacart brand, application, and technology products. Both companies will continue to operate independently until the deal is formally finalized. Market analysts noted that the acquisition positions DoorDash to compete more directly with major delivery competitors such as Amazon, as the growth trajectory in the delivery sector shifts away from restaurant delivery toward higher-value weekly grocery and retail orders.
Founded in San Francisco in 2013, DoorDash operates across 40 countries and completed more than three billion orders last year using a network of nine million independent delivery workers. Instacart, established in 2012, specializes in grocery and convenience store delivery across the United States and Canada, with its 600,000 independent contractor shoppers completing 338 million orders last year. Market research data indicates that DoorDash's market share on US delivery platforms grew from 44% to 59% over a five-year period, while Instacart's share shifted from 26% to 18%. Reuters reported that the proposed merger may face antitrust scrutiny from government regulators.
